This agreement is between you and TacAssist ("we", "us"), the publisher of Call Transcriber (the "Software"). By installing or using the Software you agree to these terms. If you do not agree, do not install or use it.

1. Licence

We grant you a personal, non-exclusive, non-transferable licence to install and use the Software on up to two (2) Windows PCs linked to your account, for personal or business use, while you have a valid free trial or a paid subscription.

2. Free trial and subscription

a. A new account gets one free trial of 30 days. One trial is allowed per person, per account and per PC. Creating extra accounts to get more trials is not allowed.

b. After the trial, transcribing calls requires a paid subscription (monthly or yearly). Prices are shown in the app and on https://call.transcriber.tacassist.com. Prices can differ by country.

c. Payments, invoices, taxes and refunds are handled by our payment partner (merchant of record) under its terms. Subscriptions renew automatically until you cancel them; you can cancel at any time from the app (Settings > Account > Manage subscription). Cancelling stops the next renewal; you keep access until the end of the period you paid for.

d. Without a valid trial or subscription the Software stops transcribing new calls. Your saved transcripts stay on your PC and you can still open, copy and export them.

e. The Software checks your licence with our server at least once every 7 days.

3. Your responsibilities - recording and transcribing calls

Recording or transcribing a conversation may require the consent of everyone taking part, depending on where you and they are. You are solely responsible for informing the other participants, obtaining any consent that is required, and complying with all laws that apply to you. Do not use the Software for unlawful surveillance.

4. Restrictions

You may not: (a) copy, sell, rent, sublicense or redistribute the Software; (b) reverse engineer, decompile or disassemble it, or bypass its licence checks, except where the law expressly allows it; (c) share your account or licence with others; (d) use the Software to build a competing product.

5. Your data and privacy

Transcripts, call details and settings are stored on your PC. Audio is processed on your PC unless you add your own Deepgram API key, in which case audio is sent to Deepgram under Deepgram's terms. To manage your account and licence we store your email address, a code that identifies your PC (a one-way hash, not your PC's name) and your subscription status. Details: the Privacy Policy (PRIVACY.md, and on https://call.transcriber.tacassist.com).

6. Third-party components

The Software includes open-source components and downloads an open-source speech recognition model (CC-BY-4.0). They remain under their own licences and are credited in THIRD-PARTY-NOTICES.md. Nothing in this agreement limits your rights under those licences.

7. Updates

We may release updates that fix problems or change features. The installer version checks for updates automatically, downloads them in the background and installs them when you choose; you can turn automatic checks off in the settings. The Microsoft Store version is updated by the Store. Some updates may be required to keep using the Software or its licence service.

8. No warranty

The Software is provided "as is". Speech recognition is never perfect: transcripts can contain mistakes or miss words, and call detection can fail. Check important information yourself. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special or consequential damages, or for lost data, profits or business, arising from your use of the Software. Our total liability is limited to the amount you paid for the Software in the 12 months before the claim. Some places do not allow these limits; then they apply only as far as the law allows.

10. Termination

This licence ends automatically if you break these terms. You may stop using the Software and delete your account at any time (Settings > Account, or by email).

11. Governing law

This agreement is governed by the laws of India, without regard to conflict-of-law rules, unless the law of your country of residence requires otherwise for consumers.
